Director Disqualification under Section 164(2) & DIN Restoration
Legal implications of corporate defaults on director identification numbers (DIN), statutory debarment periods, and high court writ or NCLT remediation pathways.
1. Grounds for Disqualification under Section 164(2)
A person cannot be re-appointed as a director of another company or hold office in a defaulting company for 5 years if the company in which they are a director fails to:
- File financial statements or annual returns for any continuous period of 3 financial years.
- Repay deposits accepted, pay interest thereon, redeem any debentures, or pay declared dividends for one year or more.
2. DIN Deactivation & Legal Remedies
When disqualification triggers, the MCA automatically deactivates the Director Identification Number (DIN), preventing digital signature signings or new company formations. Restoration requires:
- Filing Writ Petitions before the jurisdictional High Court challenging arbitrary DIN deactivation without due notice, or
- Utilizing Condonation of Delay Schemes (CODS) when promulgated by the Central Government to clear pending defaults and restore DIN status.
