LLP Statement of Account, Solvency (Form 8) & Annual Return (Form 11) Guide
An essential compliance guide for Limited Liability Partnerships detailing statutory deadlines, solvency declarations, and financial statement filings under the LLP Act, 2008.
1. Overview of Mandatory LLP Filings
Unlike private limited companies that follow calendar cycles linked to AGMs, LLPs operate on fixed statutory deadlines every financial year:
- Form 11 (Annual Return): Contains summary of partners, management details, and contributions. Due annually by May 30th.
- Form 8 (Statement of Account & Solvency): Contains statement of assets, liabilities, P&L account, and designated partners' solvency certification. Due annually by October 30th.
2. Consequences of Delay & Late Penalties
Failing to file Form 11 or Form 8 within statutory deadlines attracts a flat additional fee penalty of ₹100 per day per form, with no upper ceiling. Persistent defaults can lead to prosecution of designated partners and ROC strike-off action.
